MAGISTRADO PONENTE: JUAN CARLOS APITZ BARBERA EXPEDIENTE Nº. 87-7561 - I - NARRATIVA En fecha 10 de junio de 1987, los abogados Gustavo Casal Nones y Nivia Morales, Abogados Adjuntos a la Dirección de Expropiación y de Adquisición de Bienes y Derechos Patrimoniales de la Procuraduría General de la República, procediendo en representación de la REPÚBLICA DE VENEZUELA (hoy REPÚBLICA BOLIVARIANA DE VENEZUELA), solicitaron la expropiación de las acciones del Banco Central de Venezuela “…actualmente en poder de los particulares que no fueron ofrecidas en venta al mencionado Instituto Bancario…”, las cuales quedaron afectadas de expropiación mediante el Decreto N° 1.812 del 2 de febrero de 1983, publicado en la Gaceta Oficial Extraordinaria N° 3.157, de fecha 4 de mayo de ese año. En dicho Decreto se dispuso que el precio de las acciones sería igual al promedio del valor de mercado en los 6 meses anteriores al 30 de septiembre de 1974, conforme al aparte único del artículo 100 de la Ley del Banco Central de Venezuela dictada en el mismo año de 1974. De acuerdo a la solicitud de expropiación, se trata de un total de “…8.896 acciones en poder de 2.386 accionistas…”, a saber, los ciudadanos Mario Aranaga, Diego Enrique Arria, Agueda Sucre de Arreaza, Eduardo Aguilar, José Luis Aguilar, Marina Aguilar, y otros, tal como se indicará infra. El 29 de junio de 1987 se dio cuenta a la Corte, y por auto de la misma fecha, se acordó remitir el expediente al Juzgado de Sustanciación a los fines legales consiguientes, donde fue recibido el 9 de julio de ese año. Los días 15, 21 y 28 de julio de 1987, se emitieron sendos autos, mediante los cuales se difirió la oportunidad para decidir acerca de la admisibilidad de la solicitud de expropiación presentada. El 30 de julio de 1987, el Juzgado de Sustanciación admitió la solicitud de expropiación, por lo cual dispuso solicitar al Banco Central de Venezuela la certificación de propiedad de las acciones requeridas por la República, de conformidad con lo dispuesto en el artículo 21 de la Ley de Expropiación por Causa de Utilidad Pública o Social entonces vigente. El 6 de octubre de 1987, después de haberse librado el Oficio dirigido al Presidente de la Institución Bancaria, se agregó a los autos la respuesta del Consultor Jurídico de dicha Entidad, plasmada en el Oficio N° CJ-87-10-184 del 2 de octubre de 1987. En esa oportunidad, se comunicó a esta Corte la inexistencia de gravámenes y medidas preventivas o ejecutivas sobre las acciones solicitadas por la República; sin embargo, también se informó que paralelamente a la tramitación de las expropiaciones y de acuerdo con las instrucciones impartidas por el entonces Ministerio de Hacienda, el Banco Central de Venezuela continuó adquiriendo las acciones que pertenecían a particulares; en consecuencia, el número de accionistas señalado en la solicitud de expropiación había descendido a 2.367; así mismo, remitió el listado de dichos accionistas, actualizado el 31 de diciembre de 1986, de conformidad con los datos contenidos en el Libro de Accionistas de la Institución. Mediante auto de fecha 20 de enero de 1988, el Juzgado de Sustanciación acordó emplazar a los ciudadanos señalados en la solicitud de expropiación como titulares de la acciones, así como a cualquier otra persona que tuviese o pretendiese tener algún derecho sobre las mismas. Para ello, ordenó publicar la solicitud de expropiación y el auto en cuestión, en uno de los periódicos de mayor circulación de la ciudad de Caracas, por tres veces durante un mes; y remitir tres ejemplares de la primera de dichas publicaciones, a la Consultoría Jurídica del Banco Central de Venezuela, a los fines de dar cumplimiento a lo previsto en el artículo 22 de la Ley que rige la materia expropiatoria. Por último, se fijó la oportunidad para que tuviese lugar el acto de contestación a la solicitud de expropiación. Librados los carteles y entregados a la abogada Nivia Morales, representante de la REPÚBLICA BOLIVARIANA DE VENEZUELA, en fecha 13 de octubre de 1988 la mencionada abogada consignó las tres publicaciones del cartel de emplazamiento, que aparecieron en las ediciones del diario “El Universal”, los días 20 y 30 de septiembre, y 10 de octubre de 1988, respectivamente. El 24 de octubre de 1988 se emitió el Oficio N° 4267, mediante el cual se remitieron al Banco Central de Venezuela 3 ejemplares de la primera publicación del cartel de emplazamiento, a los fines de dar cumplimiento a lo estipulado en el artículo 22 de la Ley de Expropiación por Causa de Utilidad Pública o Social entonces vigente. El 27 de octubre de 1988, comparecieron por ante esta Corte los abogados JORGE AGUILAR, EDUARDO AGUILAR y ANGEL GABRIEL VISO, titulares de las cédulas de identidad números 982.319, 930.673 y 6.100.828, respectivamente, e inscritos en el Instituto de Previsión Social del Abogado bajo los números 458, 3.417 y 22.671, respectivamente. Los dos primeros actuaban en nombre propio, mientras que el abogado ANGEL GABRIEL VISO, en representación de las ciudadanas MARINA AGUILAR DE VISO y OLGA AZPÚRUA MARTURET, titulares de las cédulas de identidad números 980.010 y 1.749.238, respectivamente. En esa oportunidad, los abogados mencionados consignaron sendos escritos, por medio de los cuales se hicieron parte en la presente causa y se opusieron a la solicitud de expropiación, por cuanto –según afirmaron– se violó el artículo 101 de la Constitución promulgada en 1961, puesto que en ningún momento se alegó ni declaró la utilidad pública o interés social de la adquisición de la acciones del Banco Central de Venezuela por parte de la República; aunado a lo anterior, alegaron la inexistencia de una justa indemnización debido a que, de acuerdo al Decreto 1.812 del 2 de febrero de 1983, se pretende pagar el precio que las acciones tenían en 1974, sin considerar el cambio del valor adquisitivo de la moneda. Finalmente, añadieron lo siguiente: “Por otra parte el procedimiento seguido no corresponde a lo establecido en el ordenamiento legal y se ha adelantado en forma irregular. Igualmente me opongo por no estar dentro de los límites de la potestad expropiatoria tal como ha sido planteado en esta solicitud, en consecuencia no estamos ante un procedimiento de expropiación propiamente dicho, sino ante una vía de hecho”. En fecha 31 de octubre de 1988, se designó al ciudadano Enrique Méndez Escalante como Defensor de Ausentes y no Comparecientes en el presente proceso, por cuanto no comparecieron todos los titulares de las acciones cuya expropiación se solicita; en consecuencia, se ordenó su notificación, para que compareciera al acto de contestación de la solicitud, que tendría lugar al tercer día de despacho siguiente a dicha notificación. El 17 de mayo de 1990, en virtud del nombramiento de la ciudadana Zoraida Frontado de Breto como Defensora de Ausentes y no Comparecientes, para cubrir la vacante temporal del ciudadano Enrique Méndez Escalante, lo cual fue participado a esta Corte por la Sala Político Administrativa de la entonces Corte Suprema de Justicia, se acordó librar Boleta de notificación dirigida a la Defensora designada. En fecha 22 de febrero de 2000, la representante de la República pidió que se librase una nueva boleta para notificar a la Defensora de Ausentes y no Comparecientes, en vista de la paralización de la causa. Por ende, el 29 del mismo mes y año, se dejó sin efecto la boleta de notificación librada anteriormente, ordenándose emitir una nueva; así mismo, se fijó la oportunidad para que tuviese lugar el acto de contestación a la solicitud de expropiación. El 11 de abril de 2000, la representante de la República pidió que se librase un cartel de notificación, a los fines de la continuación de la causa. Así, el 2 de mayo de 2000, se anuló el auto emitido el 29 de febrero de ese año, por cuanto se omitió ordenar la continuación de la causa y la notificación de quienes habían atendido al emplazamiento. En consecuencia, se repuso la causa al estado de proveer acerca de las solicitudes formuladas por la representante de la República mediante diligencias del 22 de febrero y 11 de abril de 2000. Considerando que la causa se encontraba paralizada, el 4 de mayo de 2000 se ordenó notificar a los ciudadanos JORGE y EDUARDO AGUILAR, así como al abogado ANGEL GABRIEL VISO, apoderado judicial de las ciudadanas MARINA AGUILAR DE VISO y OLGA AZPÚRUA MARTURET, mediante Cartel que debía publicarse en el diario “El Nacional”; igualmente se dispuso la notificación de la Defensora de Ausentes y no Comparecientes, a través de Boleta. El acto de contestación a la solicitud tendría lugar el tercer día de despacho siguiente a la fecha en que constara en autos la última de dichas notificaciones, o bien vencido el término de diez días previsto en el artículo 233 del Código de Procedimiento Civil. El 8 de agosto de 2000 la representante de la República, después de haber recibido el Cartel de emplazamiento anteriormente referido, consignó dos ejemplares de la edición del diario “El Nacional” del 7 de julio de ese año, donde el mismo fue publicado. En esa misma fecha, se agregó a los autos la Boleta suscrita por la Defensora de Ausentes y no Comparecientes, ciudadana Zoraida Frontado de Breto; y el 19 de septiembre de ese año, vencieron los 10 días calendario concedidos para su notificación. El 26 de septiembre de 2000, siendo la oportunidad fijada para el acto de contestación a la solicitud de expropiación, compareció el abogado José Francisco Urbano, en su carácter de Defensor de Ausentes y no Comparecientes, en sustitución de la ciudadana Zoraida Frontado de Breto, como consta en la copia del Acta de juramentación levantada el 18 del mismo mes y año por la Sala Político Administrativa del Tribunal Supremo de Justicia, la cual riela al folio 150 del expediente. El abogado mencionado consignó el escrito correspondiente, en el cual expuso que “…esta Defensoría asume la representación y defensa de los no comparecientes y ausentes en este acto… y en tal virtud hace valer los derechos que eventualmente pudieran corresponderle a dichas personas ausentes y no comparecientes, siempre y cuando acrediten posteriormente su cualidad de accionistas. Dejo en esta forma contestada la presente demanda”. El abogado ANGEL GABRIEL VISO, apoderado judicial de las ciudadanas MARINA AGUILAR DE VISO y OLGA AZPÚRUA MARTURET, al acudir al referido acto, ratificó el escrito consignado en fecha 27 de octubre de 1988, y alegó la perención de la causa “…por las razones que expresaré mediante escrito separado”, el cual no consta en autos. Igualmente, la abogada Martha Monasterios Malavé compareció a dicho acto, en representación de la REPÚBLICA BOLIVARIANA DE VENEZUELA; en esa oportunidad, rechazó la oposición formulada por el abogado ANGEL GABRIEL VISO, aseverando que la misma sólo se podía fundar en violación de la Ley o en que la expropiación debe ser total; sin embargo, aseguró que se cumplieron todos los extremos legales, puesto que tras dictarse el Decreto N° 1.812, se acudió al procedimiento judicial expropiatorio. Así mismo, con respecto a la solicitud de la declaratoria de la perención, apuntó que en los juicios de expropiación no procede tal figura, por tratarse de un procedimiento de orden público, que no está sujeto a lapsos preclusivos. En fecha 3 de octubre de 2000 se acordó pasar el expediente a esta Corte, donde fue recibido el 10 de ese mes y año, a los fines de decidir acerca de la solicitud de expropiación. El 17 de octubre de 2000 se dio cuenta, y por auto de la misma fecha se dejó constancia de la reconstitución de esta Corte con los Magistrados que actualmente la integran, asignándose la ponencia al Magistrado que con tal carácter suscribe este fallo, a quien se pasó el expediente el 18 de octubre de 2000. El 3 de julio de 2002 se ordenó solicitar al Presidente del Banco Central de Venezuela, los datos actualizados referentes a las acciones aún no transferidas a la República, con la identificación de sus titulares. El 14 de agosto de 2002 se acordó pasar el expediente al Magistrado Ponente, lo cual se realizó el 20 del mismo mes y año. Realizado el estudio del expediente, esta Corte pasa a dictar sentencia con base en las siguientes consideraciones: - II - CONSIDERACIONES PARA DECIDIR Corresponde a esta Corte pronunciarse acerca de la solicitud de expropiación introducida por la REPÚBLICA BOLIVARIANA DE VENEZUELA, y al efecto se observa lo siguiente: El caso bajo examen versa sobre la expropiación de las acciones del Banco Central de Venezuela que no han sido transferidas a la República, razón por la cual esta Corte estima conveniente hacer una breve referencia a la evolución histórica de dicho Instituto. El Banco Central de Venezuela fue creado al promulgarse la Ley correspondiente, el 8 de septiembre de 1939; al respecto, Rafael Crazut relata que “el proyecto de Ley fue introducido a las Cámaras Legislativas el día 5 de junio de 1939 y admitido a discusión ese mismo día. El 26 de junio se inició la segunda discusión en Diputados (sic), la cual concluyó rápidamente para iniciar la tercera el día 30 del mismo mes. En la Cámara del Senado la discusión fue igualmente breve, como resultado de lo cual el Congreso Nacional sancionó dicho instrumento legal el 13 de julio de 1939. Posteriormente, el 8 de setiembre la Ley fue promulgada por el Ejecutivo Federal…” (Vid. El Banco Central de Venezuela: Notas sobre su Historia y Evolución. 1940-1990, BCV, Colección Cincuentenaria, N° 2, p. 76). La Entidad tenía, en ese entonces, una participación accionaria mixta, pues de las 100.000 acciones que se emitieron, el 50 % pertenecía a la República, y el otro 50 % a los particulares. “Más de doce mil solicitudes fueron recibidas para suscribir las cincuenta mil acciones que según la Ley podían ser ofrecidas al público, en virtud de lo cual tuvo que realizarse un prorrateo. El capital, o más concretamente la porción que correspondería a los particulares, quedó en poder de 10.818 personas residenciadas en todo el país, ya que se colocaron acciones en los veinte Estados, en los dos Territorios Federales e incluso entre un reducido número de venezolanos residenciados en el exterior. Más de la mitad de los suscriptores privados habían adquirido acciones por un número menor de cinco, mientras que la mayor porción adjudicada individualmente no sobrepasaba las diez, todo ello a pesar de que la Ley permitía un límite mayor” (Crazut, Rafael, Ob. cit., p. 79). Ahora bien, a principios de la década de 1970, dentro del movimiento nacionalizador de las industrias del gas natural y del hierro, así como de la industria y el comercio de los hidrocarburos, se dictó una nueva Ley del Banco Central de Venezuela, mediante el Decreto N° 507 emanado del Poder Ejecutivo en fecha 30 de octubre de 1974 y publicado en la Gaceta Oficial de la entonces República de Venezuela N° 1.706 Extraordinaria del 26 de noviembre de 1974, reimpresa por error de copia el 30 de diciembre del mismo año en la Gaceta Oficial N° 1.711 Extraordinaria; el referido Decreto-Ley se dictó con base en la Ley Orgánica respectiva que autorizó al Presidente de la República para dictar Medidas Extraordinarias en Materia Económica y Financiera. El artículo 8 de dicho Decreto-Ley estableció que “con excepción del Estado, ninguna persona, natural o jurídica, podrá ser propietaria de acciones del Banco”. Sin embargo, a los fines de evitar la confiscación de las acciones que estaban en poder de particulares, el artículo 100 eiusdem dispuso lo relativo a la transferencia de las mismas a la República, estipulando lo siguiente: “En el plazo de dos años a partir de la fecha de vigencia de esta ley, todas las personas naturales o jurídicas distintas de la República, que sean titulares de acciones del Banco Central de Venezuela, deberán ofrecerlas a la República, quien las adquirirá por órgano del Ministerio de Hacienda. Las acciones del Banco Central de Venezuela que no hubieren sido ofrecidas en venta pasarán al patrimonio de la República, previo cumplimiento de los trámites previstos en la ley de expropiación por causa de utilidad pública. En ambos casos, el precio que se deberá pagar por las acciones será igual al promedio del valor de mercado en los seis (6) meses anteriores al 30 de septiembre de 1974.” (Subrayado de esta Corte). En virtud de la disposición citada, el 2 de febrero de 1983 se dictó el Decreto N° 1.812, publicado en la Gaceta Oficial de la entonces República de Venezuela N° 3.157 Extraordinaria del 4 de mayo de 1983, a los fines de ordenar “…los trámites previstos en la Ley de Expropiación por Causa de Utilidad Pública (o Social), para que pasen al patrimonio de la República las acciones del Banco Central de Venezuela que no fueron ofrecidas en venta a dicho Instituto…”, las cuales ascendían a 8.965, pertenecientes a 2.386 accionistas, quienes fueron listados en dicho Decreto. Fundamentándose en el Decreto anterior, el 10 de junio de 1987 la Procuraduría General de la República solicitó por ante esta Corte la expropiación de las acciones allí aludidas, aunque erradamente indicó que se trataba de 8.896 acciones. Posteriormente el Consultor Jurídico de la Entidad, ciudadano Frank Malaret Mayz, mediante Oficio del 2 de octubre de ese año, el cual corre inserto a los folios 47 y 48 del expediente, informó a esta Corte que para el 31 de diciembre de 1986, el número de personas que aún conservaban acciones del Banco Central de Venezuela, se había reducido a 2.367, en virtud de que “…paralelamente a la tramitación de las expropiaciones, y de acuerdo con las instrucciones impartidas en su tiempo por el Ministro de Hacienda, este Instituto continuó adquiriendo –en nombre de la República– las acciones en poder del público. De allí que exista la señalada variación en el número de accionistas”. No obstante, de las actas procesales se desprende que tal cifra ha experimentado una nueva alteración; en este sentido, al folio 164 riela Oficio de fecha 8 de agosto de 2002, remitido a este Órgano Jurisdiccional por el actual Consultor Jurídico del Instituto, ciudadano José Leonardo Núñez, mediante el cual informó que actualmente restan 8.886 acciones por transferir a la República, correspondientes a 2.366 personas. Ahora bien, esta Corte constata que de los titulares de las acciones cuya expropiación solicita la República, únicamente comparecieron a la presente causa, los ciudadanos JORGE AGUILAR, EDUARDO AGUILAR, MARINA AGUILAR DE VISO y OLGA AZPÚRUA MARTURET. El 27 de octubre de 1988, cuando se hicieron parte en el proceso, presentaron sendos escritos mediante los cuales se opusieron a la expropiación, fundamentándose en idénticos argumentos. Así mismo, el apoderado judicial de las ciudadanas mencionadas consignó, en la oportunidad fijada para ello, el escrito de contestación de la solicitud presentada por la República, reiterando su oposición anterior. En vista de lo expuesto, este Juzgador pasa a analizar los alegatos aducidos; y en primer término, estima conveniente abordar la siguiente afirmación: “…me opongo por no estar dentro de los límites de la potestad expropiatoria tal como ha sido planteado en esta solicitud, en consecuencia no estamos ante un procedimiento de expropiación propiamente dicho, sino ante una vía de hecho”. Frente a tal alegato, en primer término resulta necesario precisar que por vías de hecho se entiende “…todas aquellas actuaciones de las autoridades que desconocen abiertamente el ordenamiento jurídico, contradiciéndolo o violando de manera ostensible los procedimientos y el debido proceso en situaciones que prácticamente rayan con la arbitrariedad: todas aquellas ostensibles violaciones al ordenamiento jurídico que no obstante su ropaje de Actos Administrativos se pueden calificar como vías de hecho si desconocen y alteran los derechos fundamentales” (Vid. Santofimio Gamboa, Jaime Orlando. Tratado de Derecho Administrativo, Tomo II. Universidad Externado de Colombia, Bogotá, 1998, pp. 114 y 115). Ahora bien, esta Corte constata que en el caso sub-iudice, lejos de haberse violentado el ordenamiento jurídico, se ha actuado con sujeción al mismo. En este sentido, debe destacarse que la Ley del Banco Central de Venezuela publicada en fecha 26 de noviembre de 1974 estipuló, en su artículo 8, lo siguiente: “Con excepción del Estado, ninguna persona, natural o jurídica, podrá ser propietaria de acciones del Banco”. De modo que, a partir de la entrada en vigencia de la Ley, entró igualmente en vigor la prohibición a los particulares de tener bajo su dominio acciones del Instituto, pretendiéndose con tal regulación que la República pase a ser, de accionista mayoritaria, a única propietaria del capital del referido Banco Central, con la finalidad última de monopolizar la función de dirigir la política económica del Estado. Por tanto, la institución jurídica que surge en este caso es la nacionalización, la cual fue definida por el Instituto de Derecho Internacional de la siguiente manera: “‘La nacionalización es la transferencia al Estado, por medida legislativa y en interés público, de bienes o derechos privados de una cierta categoría, para su explotación o control por el Estado o una nueva destinación que les sería dada por éste’” (Vid. Araujo, Ana Elvira y Salomón de Padrón, Magdalena. “Estudio Comparativo entre la Nacionalización y la Reserva, la Expropiación, la Confiscación, la Requisición y el Comiso”, en: Archivo de Derecho Público y Ciencias de la Administración. Régimen Jurídico de las Nacionalizaciones en Venezuela. Vol. III, 1972-1979, Tomo 1. Instituto de Derecho Público, Facultad de Ciencias Jurídicas y Políticas de la Universidad Central de Venezuela, 1981, p. 129). No obstante, a pesar de haberse monopolizado la actividad propia del Banco Central de Venezuela, con la consiguiente prohibición a cualquier ente distinto a la República de tener alguna participación en su capital, lo cierto es que una gran cantidad de acciones se encontraban entonces bajo el dominio de particulares, siendo así dicha Institución de capital mixto. En consecuencia, aunado a la medida anteriormente señalada, en el mismo instrumento jurídico se previeron determinados mecanismos, a los fines de lograr la transferencia de la propiedad de las acciones a la República. Ello deriva del encabezado del artículo 100 de la referida Ley del Banco Central de Venezuela de 1974, el cual es del siguiente tenor: “En el plazo de dos años a partir de la fecha de vigencia de esta Ley, todas las personas naturales o jurídicas distintas de la República, que sean titulares de acciones del Banco Central de Venezuela, deberán ofrecerlas a la República, quien las adquirirá por órgano del Ministerio de Hacienda. Las acciones del Banco Central de Venezuela que no hubieren sido ofrecidas en venta pasarán al patrimonio de la República, previo cumplimiento de los trámites previstos en la Ley de expropiación por causa de utilidad pública (o Social)”. De la disposición transcrita, resulta palmario que el legislador material estableció dos supuestos diferentes, a través de los cuales operaría la transferencia del dominio, a saber, el arreglo amigable o convenio entre la República y los propietarios afectados, y el procedimiento expropiatorio, al cual se acudiría subsidiariamente para adquirir de manera forzosa las acciones que no hubiesen sido ofrecidas a la República espontáneamente. Al respecto, es de interés el siguiente comentario: “Ya hemos dicho cómo se señala que el efecto más inmediato (y esencial) de la nacionalización es el de transferir ciertos bienes o derechos de manos de particulares al Estado. De acuerdo con esta afirmación, dicha transferencia se produce por efecto mismo de la nacionalización, sin necesidad de intervención de otro mecanismo de transmisión forzosa de los ya conocidos. Según esto, el Estado puede –además de expropiar, confiscar, comprar…, ciertos derechos– nacionalizarlos. a. Sin embargo, en muchos casos de nacionalización, se ha utilizado expresa y conscientemente el mecanismo de la expropiación para la adquisición de los bienes sobre los cuales aquélla iba a recaer… Igualmente, en las llamadas nacionalizaciones en Venezuela, como veremos, se ha utilizado reiteradamente la figura de la expropiación, por previsión expresa de los textos legales respectivos.” (Vid. Gustavo Urdaneta. “Algunos Aspectos Teóricos de las Nacionalizaciones”, en: Archivo de Derecho Público y Ciencias de la Administración. Régimen Jurídico de las Nacionalizaciones en Venezuela. Vol. III, 1972-1979, Tomo 1. Instituto de Derecho Público, Facultad de Ciencias Jurídicas y Políticas de la Universidad Central de Venezuela, 1981, p. 82). Una vez determinado lo anterior, y en vista de que el segundo supuesto legal prevé el procedimiento expropiatorio como medio de adquisición de la propiedad de las acciones del Banco Central de Venezuela por parte de la República, esta Corte considera menester precisar que por expropiación se entiende “el medio jurídico en cuyo mérito el Estado obtiene que un bien sea transferido de un patrimonio a otro por causa de utilidad pública, previa indemnización” (Vid. Marienhoff, Miguel. Tratado de Derecho Administrativo, Tomo IV, 6ª edición, Abeledo-Perrot, Buenos Aires, 1997, p.127). En igual sentido, la doctrina patria ha sostenido que es el “…proceso orientado a lograr la transferencia forzosa de derechos de los cuales obviamente es titular una persona y cuya decisión será el título de adquisición para el Estado” (Vid. Araujo, Ana Elvira y Salomón de Padrón, Magdalena, Ob. cit., pp. 133 y 134). Adicionalmente, es menester acotar que la potestad expropiatoria dimana del artículo 115 de la Constitución de la República Bolivariana de Venezuela –anteriormente del artículo 101 del Texto Fundamental de 1961–, el cual dispone que “…sólo por causa de utilidad pública o interés social, mediante sentencia firme y pago oportuno de justa indemnización, podrá ser declarada la expropiación de cualquier clase de bienes”. En relación al tema, jurisprudencialmente se ha afirmado lo siguiente: “…la entidad expropiante, en este caso la Nación, está facultada por la Ley de Expropiación por Causa de Utilidad Pública o Social (artículos 1 y 2) para intentar los juicios expropiatorios con el objeto de realizar obras y actividades de utilidad pública, cuya finalidad es proporcionar a la Nación en general, bienes o usos en beneficio común. La expropiación, pues, constituye el ejercicio por parte de la Administración de una potestad pública, que le permite apoderarse de determinados bienes de los particulares por motivos de interés público o de interés social, como lo señala el artículo 101 de la Constitución (promulgada en 1961).” (Sentencia de esta Corte, de fecha 15 de junio de 1982, caso: Elías García Cachazo y otros). Por lo tanto, en ejercicio de la potestad expropiatoria y a los fines de iniciar el procedimiento correspondiente, de acuerdo a lo previsto en el artículo 100 de la Ley del Banco Central de Venezuela del 26 de noviembre de 1974, reimpresa el 30 de diciembre de ese año, el 2 de febrero de 1983 el Ejecutivo Nacional emitió el Decreto N° 1.812, publicado en la Gaceta Oficial Extraordinaria N° 3.157, de fecha 4 de mayo de ese mismo año. En el artículo 1° de dicho Decreto se estableció lo siguiente: “Procédase a realizar los trámites previstos en la Ley de Expropiación por Causa de Utilidad Pública (o Social), para que pasen al patrimonio de la República las acciones del Banco Central de Venezuela que no fueron ofrecidas en venta a dicho Instituto…”. Por tanto, debido a que el presente proceso se inició con base en la Ley del Banco Central de Venezuela de 1974 y en el referido Decreto N° 1.812, de tal forma que la expropiación que aquí se ventila es parte del proceso de nacionalización del Instituto Bancario, esta Corte desestima el alegato según el cual se trata de una vía de hecho, que excede los límites de la potestad expropiatoria. Así se declara. Ahora bien, de lo expuesto anteriormente en cuanto a la expropiación, destaca que la finalidad de dicha institución jurídica consiste en la transferencia obligatoria del derecho de propiedad sobre el bien objeto de la medida, del expropiado al expropiante, lo cual está acorde con la previsión legislativa de acudir al procedimiento expropiatorio para adquirir las acciones del Banco Central de Venezuela que no hubiesen sido ofrecidas en venta a la República. Por ende, siendo la sentencia que se emita en el presente proceso el título de adquisición de dichas acciones por parte de la República, resulta indiscutible que el derecho de propiedad sobre las mismas ha permanecido hasta ahora en el patrimonio de sus respectivos titulares; de ahí que sea imperativo para esta Corte pronunciarse acerca de la situación de tal derecho. En este sentido, el artículo 545 del Código Civil dispone lo siguiente: “La propiedad es el derecho de usar, gozar y disponer de una cosa de manera exclusiva, con las restricciones y obligaciones establecidas por la Ley”. Como se observa, el derecho real en cuestión comprende distintas facultades dominicales, a saber, usar, gozar y disponer de la cosa, las cuales han sido definidas como se expone a continuación: “La facultad de utilización (ius utendi) es el poder de servirse de cosas que son objeto del derecho para la satisfacción de las propias necesidades. Las cosas se usan en la medida en que el propietario se sirva de ellas. Compete, además, por regla general, al propietario la posibilidad de establecer el destino económico de las cosas de que es dueño… La facultad de disfrute (ius fruendi) hace al propietario de la cosa propietario también de los frutos, tanto naturales como industriales o civiles, que la cosa produzca… …(La facultad de disposición) supone la posibilidad que el propietario tiene de realizar actos que afecten a la existencia y al alcance de su derecho (enajenación, gravamen, renuncia).” (Vid. Díez-Picazo, Luis y Gullón, Antonio. Sistema de Derecho Civil, Vol. III, Edit. Tecnos, Madrid, 1979, pp. 115 y 116). Sin embargo, a pesar de las facultades que en principio confiere el derecho de propiedad a su titular, en el caso sub-iudice el mismo quedó vaciado de contenido, perdurando únicamente la posibilidad de enajenar a la República las acciones, como parte de la facultad de disponer jurídicamente de ellas. Así, si bien es cierto que el artículo 100 de la Ley del Banco Central de Venezuela de 1974 estipuló un lapso de dos años para ofrecer en venta las acciones a la República, igualmente destaca la inexistencia de una norma jurídica expresa que prohibiera que, una vez transcurridos los dos años, se realizara tal oferta; ello indica que los propietarios de las acciones del referido Banco Central no estaban obligados a esperar que se tramitara la presente expropiación. De esta forma, el dominio sobre las acciones no facultaba a sus titulares a ninguna otra cosa distinta a obtener de la República la contraprestación calculada de conformidad con los parámetros establecidos legalmente, dada la monopolización de las funciones del Instituto Bancario por parte del Estado, razón por la cual el derecho de propiedad en este caso quedó prácticamente vacío de todo contenido. Así se declara. Sentado lo anterior, esta Corte procede a examinar los alegatos de quienes manifestaron su oposición, concernientes al aspecto adjetivo; y a tales efectos observa, en primer término, que se denunció la violación del artículo 101 de la Constitución promulgada en 1961, puesto que no se declaró la utilidad pública o el interés social de la adquisición de las acciones del mencionado Banco Central. La norma aludida está igualmente consagrada en el ordenamiento jurídico vigente, pues el artículo 115, in fine, de la Constitución de la República Bolivariana de Venezuela establece que “sólo por causa de utilidad pública o interés social, mediante sentencia firme y pago oportuno de justa indemnización, podrá ser declarada la expropiación de cualquier clase de bienes”; no obstante, con anterioridad quedó claramente expuesto que la expropiación de las acciones pretende la transferencia de las mismas al patrimonio de la República, en virtud de la nacionalización de la Institución Bancaria, establecida legalmente dado el beneficio colectivo que conlleva el monopolio por parte del Estado de las funciones atribuidas al Banco Central de Venezuela. Por lo tanto, esta Corte desestima el alegato bajo análisis, y así se declara. Adicionalmente, los opositores aseveraron que “…el procedimiento seguido no corresponde a lo establecido en el ordenamiento legal y se ha adelantado en forma irregular”. A tales efectos se reitera que en cumplimiento del artículo 100 de la Ley del Banco Central de Venezuela de fecha 26 de noviembre de 1974, se acudió al juicio expropiatorio. Al respecto, esta Corte evidencia que se tramitó el procedimiento previsto en la Ley de Expropiación por Causa de Utilidad Pública o Social publicada el 6 de noviembre de 1947, y reformada parcialmente en 1958, puesto que entonces se encontraba en vigencia. No obstante, este Juzgador considera necesario hacer algunas observaciones referentes al procedimiento tramitado por ante este Órgano Jurisdiccional; por un lado, el artículo 22 de la derogada Ley de Expropiación por Causa de Utilidad Pública o Social, reiterado en la Ley vigente, ordenaba a los fines del emplazamiento a los interesados, publicar por 3 veces en un diario la solicitud de expropiación y el auto de emplazamiento, así como remitir al Registro Subalterno respectivo, 3 ejemplares del periódico que contuviese la primera de dichas publicaciones para que fuesen fijadas en la puerta de la Oficina. Por ende, mediante auto que riela a los folios 96 y 97 del expediente, el Juzgado de Sustanciación acordó remitir a la Consultoría Jurídica del Banco Central de Venezuela, 3 ejemplares de la primera de las publicaciones ordenadas, para lo cual se emitió Oficio de fecha 24 de octubre de 1988 que corre inserto al folio 107; sin embargo, no consta en las actas procesales que se haya consignado dicho Oficio a su destinatario, ni que se haya dado cumplimiento a la fijación de dichas publicaciones a las puertas de la referida Dirección. A pesar de ello, y en atención a la publicación de los 3 Carteles mediante los cuales se emplazó tanto a los ciudadanos mencionados en la solicitud de expropiación como legitimados pasivos, así como a todos lo que pudiesen tener algún interés en los bienes a expropiar, que rielan a los folios 103 al 106, esta Corte estima que se aseguraron perfectamente los eventuales derechos vinculados al objeto del presente proceso, por lo cual no procedería la reposición de la causa, por cuanto el acto cumplió su finalidad. En tal sentido, cabe citar el criterio sostenido por esta Corte en relación a los formalismos inútiles, ratificado por la Sala Constitucional del Máximo Tribunal en sentencia de fecha 19 de agosto de 2002: “…los requisitos formales no son valores autónomos con sustantividad propia, sino sólo sirven en cuento son instrumentos dirigidos a lograr la finalidad legítima de establecer las garantías necesarias para los litigantes en el proceso, por ende, ningún requisito formal puede convertirse en un obstáculo que impida injustificadamente un pronunciamiento sobre el fondo, y tampoco son admisibles obstáculos que sean el producto de un formalismo o que no se compaginen con el necesario derecho a la justicia, o que no sean justificados y proporcionados con las finalidades para las que se establecen, y que deben ser adecuadas a la Constitución (…). Las disposiciones procesales han de ser interpretadas a la luz de la Constitución, pues si bien las formas y requisitos del proceso cumplen un papel de suma importancia para su ordenación, no toda irregularidad formal puede convertirse en un obstáculo insalvable para su prosecución, con repudio por lo tanto de formalismos enervantes, contrarios al espíritu y finalidad de la norma (Vid. en este sentido Joan Pico i Junio: Las Garantías Constitucionales del Proceso, J.M. Bosh Editor, Barcelona, 1997, p. 47). La justificación de la existencia de la forma no explica, por tanto, la aparición del formalismo. Por el contrario, el formalismo significa incerteza e inseguridad, lo contrario de la forma; el formalismo es la negación de la forma. La existencia de las formas y su necesidad, así como el repudio al formalismo ha sido reconocido –a interpretación en contrario– por el propio Texto Constitucional, al proclamar que la justicia debe administrarse ‘sin formalismos o reposiciones inútiles’ (art. 26), y que, ‘no se sacrificará la justicia por la omisión de formalidades no esenciales’ (art. 257)….” (Sentencia de esta Corte, de fecha 16 de agosto de 2001, caso: Industria Metalúrgicas Ofanto S.R.L.). En refuerzo de la idea que antecede, este Órgano Jurisdiccional reitera que la nacionalización del Banco Central de Venezuela derivó de un acto jurídico emanado del Poder Ejecutivo, pero de contenido normativo, es decir, una ley en sentido sustancial mas no formal. Por ello, cabe aplicar la presunción del conocimiento de la ley por parte de la ciudadanía desde su publicación en Gaceta Oficial. Por otro lado, se observa que el apoderado judicial de las ciudadanas MARINA AGUILAR DE VISO y OLGA AZPÚRUA MARTURET, al contestar la solicitud de expropiación, adujo que había operado la perención de la causa. Por ende, cabe destacar el siguiente criterio, sentado por la jurisprudencia patria: “En cuanto a la perención de la instancia solicitada por la parte expropiada, se observa, en primer lugar, que el derecho de propiedad es un derecho que se encuentra tutelado en la Constitución, siendo entonces las disposiciones que rigen la expropiación por causa de utilidad pública o social, de orden público, de lo cual se infiere que el procedimiento expropiatorio no puede estar sometido a los lapsos preclusivos que rigen el procedimiento ordinario por ser precisamente de orden público.” (Sentencia de esta Corte, de fecha 9 de noviembre de 2000, caso: Pasquale Marzullo Mastrodoménico). Por lo tanto, siendo que el procedimiento expropiatorio no está sujeto a lapsos preclusivos, resulta imperativo para esta Corte declarar la improcedencia de la perención de la instancia, y así se declara. En vista de lo expuesto hasta el momento, esta Corte estima que debe ser declarada la procedencia de la presente expropiación, solicitada por la República Bolivariana de Venezuela. No obstante, ello hace menester un pronunciamiento en cuanto a la indemnización debida a quienes resulten afectados por esta medida. A tales efectos, se observa que la Ley del Banco Central de Venezuela publicada en fecha 26 de noviembre de 1974, determinó los parámetros para fijar la contraprestación que correspondería por cada acción, al disponer que “…el precio que se deberá pagar por las acciones será igual al promedio del valor de mercado en los seis (6) meses anteriores al 30 de septiembre de 1974”, lo cual fue reiterado en el artículo 2 del Decreto N° 1.812 del 2 de febrero de 1983, publicado el 4 de mayo de ese año. De modo que, de acuerdo al criterio establecido por el legislador material, el precio de cada acción se calculó en la cantidad de CIENTO UN BOLÍVARES CON OCHENTA CÉNTIMOS (BS. 101,80). En consecuencia, los interesados que se hicieron parte en el presente proceso, oponiéndose a la expropiación, alegaron que no se pretende pagar una justa indemnización debido a que el precio de las acciones se determinó en base al valor que tenían en 1974, sin considerar la depreciación de la moneda. Por lo tanto, este Juzgador procede a pronunciarse acerca de la indemnización que debe la República a quienes resultaron afectados patrimonialmente en el presente caso. En este sentido, en vista del extenso período que ha transcurrido desde el 26 de noviembre de 1976, cuando venció el lapso de 2 años conferido por la Ley del Banco Central de Venezuela de 1974 para ofrecer las acciones a la República, hasta el presente, debe analizarse la procedencia o no de la corrección monetaria, como mecanismo para actualizar el precio de las acciones calculado de acuerdo a la referida Ley, en función de la pérdida del valor adquisitivo de la moneda. Conviene recordar que la indexación judicial consiste en “…el mecanismo por el cual, un juez en un caso concreto, sin tener la autorización legal y para el caso de obligaciones que son obligaciones de dinero, aplica una corrección al valor de la prestación del deudor para los efectos de tratar de dar una indemnización justa y lograr la restitución del equilibrio patrimonial del acreedor” (Vid. Rodner, James-Otis. “Correctivos por Inflación en las Obligaciones de Dinero y en las Obligaciones de Valor”, en: Efectos de la Inflación en el Derecho, Biblioteca de la Academia de Ciencias Políticas y Sociales, Caracas, 1994, pp. 82 y 83). Ahora bien, adquiere relevancia determinar cuál es el supuesto que da lugar al mecanismo in commento; y al respecto, la doctrina patria ha afirmado lo siguiente: “Antes de la mora, en el caso de obligaciones de dinero, normalmente el riesgo de la inflación corresponde al acreedor de la prestación. (…) Después de que el deudor se encuentra en retardo en el cumplimiento de su prestación, los daños que puedan producirse por efecto del retardo en el cumplimiento corren por cuenta del deudor de la prestación de dinero. Nuestra doctrina exige que el retardo en el cumplimiento sea un retardo culposo, o sea, no basta con una mora o retardo, en sentido estricto, sino que tiene que existir un retardo culposo. De existir un retardo culposo, el deudor de la obligación de dinero estaría obligado a indemnizar al acreedor todos los daños, lo cual podría incluir los efectos producidos por la depreciación del poder adquisitivo de la moneda. (…) La mora credendi, o sea, la mora del acreedor, consiste en el retardo injustificado por parte del acreedor de recibir el cumplimiento de la obligación del deudor… nuestra doctrina reconoce la mora del acreedor definiéndola como el retardo culposo del acreedor en recibir el pago del deudor… los efectos de la mora del acreedor son: los riesgos pasan al acreedor; el deudor no queda obligado –a partir del momento de la mora del acreedor– a la indemnización de daños y perjuicios; y, el acreedor debe correr con los gastos que le hubiera ocasionado la mora” (Vid. Rodner, James-Otis. El Dinero, la Inflación y las Deudas de Valor. Edit. Arte, Caracas, 1995, pp. 101-103). Del texto citado, destaca que la indexación judicial constituye una consecuencia de la mora del deudor o mora solvendi, siendo necesario que se trate de un retardo culposo por parte del deudor en el cumplimiento de su obligación. Determinado lo anterior, esta Corte debe reiterar que en el caso sub-iudice, en virtud de la entrada en vigencia de la Ley del Banco Central de Venezuela de 1974, operó la nacionalización del Instituto referido. Ahora bien, el artículo 100 de la misma Ley estableció que “en el plazo de dos años a partir de la fecha de vigencia de esta ley, todas las personas naturales o jurídicas distintas de la República, que sean titulares de acciones del Banco Central de Venezuela, deberán ofrecerlas a la República, quien las adquirirá por órgano del Ministerio de Hacienda. Las acciones del Banco Central de Venezuela que no hubieren sido ofrecidas en venta pasarán al patrimonio de la República, previo cumplimiento de los trámites previstos en la ley de expropiación por causa de utilidad pública”. De esta forma se estipuló un período de 2 años para que los propietarios ofrecieran sus acciones y recibieran el pago respectivo; sin embargo, tal como se indicó ut-supra, se evidencia que no se estableció una prohibición expresa en virtud de la cual la oferta de las acciones en cuestión no pudiera realizarse en un momento posterior al lapso señalado. Por tanto, considerando que los particulares que se abstuvieron de hacerlo, asumieron los riesgos que de ello derivasen, sería inadmisible imputar a la República el retraso en el cumplimiento de sus obligaciones. Siendo entonces que no existe mora por parte del deudor, mal podría ordenarse la indexación judicial del precio de las acciones, puesto que ésta sólo procede como secuela de la primera. En consecuencia, la indemnización que corresponde a cada uno de los particulares afectados por la adquisición de las acciones del Instituto Bancario por parte de la República, asciende a la cantidad de CIENTO UN BOLÍVARES CON OCHENTA CÉNTIMOS (BS. 101,80), monto calculado según los parámetros establecidos en el aparte único del artículo 100 de la Ley del Banco Central de Venezuela de 1974. Así se declara. Dadas las consideraciones anteriores, es forzoso para esta Corte declarar la procedencia de la solicitud de expropiación de las acciones del Banco Central de Venezuela presentada por la representación de la República, en los términos aquí planteados. Así se decide. - III - DECISIÓN Por las razones antes expuestas, esta Corte Primera de lo Contencioso Administrativo, administrando justicia en nombre de la República Bolivariana de Venezuela y por autoridad de la Ley, declara: 1- PROCEDENTE la expropiación solicitada por la REPÚBLICA BOLIVARIANA DE VENEZUELA de las 8.886 acciones del Banco Central de Venezuela que aún no han sido transferidas a la República por parte de los ciudadanos identificados en este fallo. 2- Se ORDENA al ente expropiante cancelar a los ciudadanos señalados en esta decisión, la cantidad de CIENTO UN BOLÍVARES CON OCHENTA CÉNTIMOS (BS. 101,80) por cada acción. Publíquese, regístrese y notifíquese.
